Host Agreement

This Host Agreement ("Agreement") governs your use of Spriinkl to create and manage events. By creating an event, you ("Host," "you") agree to these terms. This is a legally binding agreement between you and Spriinkl.
1. Your Relationship with Spriinkl
Spriinkl provides a platform for you to host virtual and hybrid celebrations. We are not involved in the execution of your event, prize fulfillment, or guest interactions. You are an independent party using our service.
2. Prize & Sweepstakes Responsibility (Your Provided Terms)
This section is critical. When you offer prizes or run a sweepstakes, you take on specific legal responsibilities.
2.1. Prize Responsibility
- You are solely responsible for providing, funding, and delivering any prize(s) you announce for your event.
- Spriinkl is a platform only and does not sponsor, provide, or administer prizes.
2.2. Prize Value Limit
To comply with sweepstakes regulations, the total announced value of all prizes you offer in a single event may not exceed $5,000 USD. This limit applies to the combined retail value of all prizes in the event, not to the value of any individual prize. Events offering prizes with a combined announced value above this amount are not permitted on the platform and may be removed without notice. The platform ensures that no single participant can win both first and second prizes in the same event.
2.3. Tax Reporting
Depending on their circumstances, Hosts may have tax reporting obligations with respect to prizes they award. Spriinkl does not issue tax forms for prizes. Winners are responsible for reporting all prize winnings as income, regardless of value.
2.4. Entry Rules
- You agree to follow the Official Sweepstakes Rules, including:
- No purchase is necessary for entry. A free method of entry must be available and promoted equally.
- Each participant may earn entries through permitted activities or purchases, as configured in your event settings.
- No participant may exceed the total number of entries you select for the event, regardless of entry method.
- All entries, whether earned by purchase or by free activities, must be treated equally in the random drawing.
2.5. Legal Compliance
- You agree to comply with all applicable federal, state, and local laws when hosting your event and its associated sweepstakes.
2.6. Geographic Limitation and Eligibility
- You acknowledge and agree that due to the complexities of international tax law, prizes in sweepstakes run on the Spriinkl platform are awarded only to legal residents of the United States who are 18 years of age or older, or who have obtained parental or legal guardian consent to participate. Non-U.S. residents may participate in event activities but are ineligible to win prizes; prizes will only be awarded to U.S. persons (U.S. citizens or U.S. resident aliens).
- You are solely responsible for verifying that each winner meets these eligibility requirements before distributing any prize. The platform does not verify age, residency, or consent, and does not guarantee that participants are eligible. You agree not to award prizes to non-eligible individuals through the platform.
2.7. Required Event Information
- When you create an event that includes a sweepstakes, you must complete all required fields in the event setup, including your name and mailing address, a description of each prize and its approximate retail value, and the entry period start and end dates.
- Spriinkl displays this information on the event page and in the abbreviated rules shown to guests.
- Events with incomplete required fields cannot be published.
3. User Content and Conduct
You are responsible for all content you post, including event details, images, and communications. You agree not to post content that is illegal, defamatory, or infringes on others' intellectual property rights. We reserve the right to remove any content or suspend any event that violates these terms.
4. Payments and Fees
Some features on Spriinkl require a one-time payment. All payments are processed through a third-party payment processor (e.g., Stripe). By purchasing premium features, you agree to their terms of service. All purchases are final and non-refundable except as required by law.
5. Limitation of Liability
To the fullest extent permitted by law, Spriinkl shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorized access, use, or alteration of your transmissions or content.
6. Indemnification
You agree to indemnify and hold harmless Spriinkl and its employees from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the platform or your violation of this Agreement.
7. Governing Law and Dispute Resolution
This Agreement and any dispute arising between you and Spriinkl shall be governed by the laws of the State of New York, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within New York County, New York to resolve any dispute or claim arising from this Agreement.
For clarity, you remain responsible for ensuring that your event and any associated sweepstakes comply with applicable law, including the law of your own state and any state in which your guests reside.
8. Changes to this Agreement
We may modify this Agreement from time to time. If we make material changes, we will provide you with notice through our services or by other means. Your continued use of the platform after the changes have been implemented will constitute your acceptance of the changes.
